SecureCloud.nz – Terms of Service

Welcome to SecureCloud.nz (“SecureCloud”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our online file storage, synchronization, and sharing services (the “Service”). By creating an account or using SecureCloud.nz, you agree to these Terms. Please read them carefully.
If you do not agree, you must not use our Service.

- Who We Are
SecureCloud.nz is a New Zealand–based cloud storage and synchronization service. All files are stored on servers physically located in New Zealand, under New Zealand laws and regulations.

- Eligibility
You must be at least 18 years old to create an account, or have a parent/guardian agree to these Terms on your behalf. By using the Service, you confirm you are legally able to enter into this agreement.

- Your Account
- You are responsible for keeping your account login details secure.
- You agree not to share your password or give others access to your account.
- You are responsible for all activity that occurs under your account.

- Acceptable Use
You agree not to use SecureCloud.nz to:
- Break any laws or regulations in New Zealand or elsewhere.
- Upload, share, or store illegal content (including but not limited to objectionable material, child exploitation material, or pirated software/media).
- Harm, disrupt, or overload our network or Service.
- Attempt to gain unauthorised access to other accounts or systems.
We reserve the right to suspend or terminate accounts that breach these rules.

- Privacy & Data Protection
- All data is stored exclusively in New Zealand.
- We comply with the Privacy Act 2020 (NZ).
- We will not access, read, or share your files, except:
- when legally required (e.g., valid warrant or court order under NZ law);
- when necessary to maintain or secure the Service.

- Service Availability
- We aim to provide a fast, reliable, and secure Service, but we do not guarantee 100% uptime.
- Temporary downtime may occur due to maintenance, upgrades, or technical issues.
- We will make reasonable efforts to notify users of planned outages.

- Payment & Billing
- Fees are charged in New Zealand dollars (NZD) and include GST unless otherwise stated.
- Subscriptions are billed monthly or annually, depending on your plan.
- Payments are non-refundable except as required under the Consumer Guarantees Act 1993.
- Accounts may be suspended or terminated if payment is overdue.

- Intellectual Property
- You retain ownership of all files and content you upload to SecureCloud.nz.
- By uploading, you grant us a limited licence to store, back up, and transmit your content as needed to provide the Service.
- SecureCloud’s software, branding, and platform remain our intellectual property.

- Termination
- You may close your account at any time.
- We may suspend or terminate your account if you breach these Terms, misuse the Service, or fail to pay fees.
- Upon termination, we may delete your files after a reasonable period. It is your responsibility to back up your data.

- Limitation of Liability
To the maximum extent permitted by New Zealand law:
- We are not liable for any indirect, incidental, or consequential loss (e.g., lost profits, data loss).
- Our total liability for any claim related to your use of the Service will not exceed the amount you paid us in the past 12 months.
- These Terms do not limit your rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

- Changes to Terms
We may update these Terms from time to time. If we make significant changes, we will notify you by email or through the Service. Continued use after changes means you accept the updated Terms.
